Midea Group’s overall listing plan is released, and it is planned to convert shares to absorb the merged Midea electrical appliances.

It is planned to convert shares to absorb the merged Midea Electric Appliances. The conversion price of Midea Electric Appliances is 15.96 yuan/share, and the conversion ratio is 0.3582:1.

Midea Electric (000527) is about to celebrate the 20th anniversary of its listing, and it has put forward a plan to realize the overall listing of the group by absorption and merger.

Share swap and merger of listed companies

According to the announcement issued by Midea Electric today, Midea Group plans to issue A shares, and the legal person qualification of Midea Electric will be cancelled. As a surviving company, Midea Group will inherit all assets, liabilities, business, personnel, contracts and all other rights and obligations of Midea Electric.

According to the relevant information in the announcement, in 2012 Midea Group achieved a total operating income of 102.7 billion, an operating profit of 7 billion, a net profit of 6.14 billion and a return on net assets of 24%. Midea Group intends to issue shares at 44.59 yuan per share, and Midea’s electrical circulation shareholders will exchange shares issued by Midea Group at 15.96 yuan per share. The share exchange ratio between the Group and listed companies is 0.3582:1. Among them, Midea Electric’s share exchange price is based on the average transaction price of 9.46 yuan/share on the announcement date of the resolution, and the premium rate is nearly 70%, far exceeding the increase of companies in the same industry during the suspension of Midea Electric and the average premium level of other share exchange and merger cases.

The dissenting shareholders of Midea Electric Appliances can declare and exercise the cash option in whole or in part at the price of 10.59 yuan per share (12% higher than the average stock transaction price in the 20 trading days before the pricing benchmark date) for every effectively declared share of Midea Electric Appliances. This share swap and merger will provide Midea Holdings and/or other appropriate third parties with cash options to Midea Electric’s dissenting shareholders.

After the completion of the share swap, Midea Group will increase the dividend, and the annual cash dividend will not be less than 1/3 of the distributable profit of that year within three years. At the same time, Midea Electric’s profit distribution in 2012 is planned to be distributed to 6 yuan for every 10 shares, totaling 2 billion yuan.

  Fang Hongbo’s plan

At yesterday’s media communication meeting, Midea Group executives said that in the past year or so, Midea Group has experienced a series of adjustments and changes. Since the strategic transformation was first put forward in July 2011, the handover between the founder and the professional manager was completed in August 2012. Subsequently, Midea Group’s industrial system began to be adjusted, the secondary industrial group was cancelled, and it was integrated with Midea Group’s professional functional system, and the product division was merged and reorganized. After the overall listing, it aims to build Midea Group into a market-oriented sharp integrated modern enterprise group and become one of the top three white electricity enterprises in the world as soon as possible.

Fang Hongbo, chairman of Midea Group, introduced at the communication meeting that Midea Group chose to inject assets of small household appliances, motors and logistics to realize the overall listing of the Group. This move will help to further promote the standardized operation of the company as a whole; Consolidate the group’s industry position and core competitiveness; Realize resource sharing and make the best use of the company’s resources, costs and efficiency advantages; Fully realize industrial collaboration, purchasing collaboration, warehousing collaboration, sales collaboration, financial collaboration and channel collaboration.

In 2012, Midea Group’s total operating income was 102.7 billion yuan. After the overall listing, it is expected to become the largest household appliance listed enterprise in China with the largest manufacturing and sales scale and the most categories. According to reports, this restructuring is mainly considered from the organizational structure and management of the company. The restructuring plan avoids large-scale adjustment of the group’s management and control structure. If Midea Group’s subordinate assets except Midea Electric are injected into Midea Electric, the group company needs to be cancelled. After the reorganization, the group leaders need to work in listed companies, and the internal management structure will be readjusted, which is not conducive to the stable operation of the group.

As for the assets to be listed, Fang Hongbo said that Midea’s small household appliances are the absolute leader in the domestic small household appliances industry, with the most complete small household appliances product group in China and complete categories, and the market share of many products has been in the absolute lead for a long time. Small household appliances have abundant channel resources, with more than 5,000 specialty stores and 55,000 outlets, covering 100% of the primary and secondary markets and more than 95% of the tertiary and fourth markets. In the future, the profitability will be continuously improved through the improvement of product structure and manufacturing level.

The motor business is the largest household appliance motor company in China, with a well-known brand "Weiling". The main products are air-conditioning motors, washing motors, industrial motors and servo motors, with a total production capacity of over 100 million units, leading the industry in market share. With high starting point/level technical equipment and strong continuous research and development capability, DC frequency conversion technology will be vigorously developed. Now it has been involved in emerging fields such as automobile power steering motor, pump and servo motor, and will become a new profit growth point in the future.

The logistics business has integrated logistics service capabilities such as efficient warehousing, accurate transportation and lean distribution. It is a national logistics company with wide network layout, great synergy potential, focusing on fast-moving warehousing and distribution of household appliances, and a high degree of business specialization. There are more than 140 logistics service platforms in China, with warehouses covering an area of nearly 4 million square meters, and its comprehensive strength ranks in the forefront of domestic third-party logistics.

Fang Hongbo believes that after the overall listing, Midea will realize all-round coordinated management from industry, procurement, warehousing, sales, finance to channels, and will realize the sharing of internal management, research and development, supply chain, downstream (warehousing and logistics), channels and brands, with the effect that 1+1 is greater than 2.

Safeguard the interests of circulating shareholders

Regarding the protection of minority shareholders’ interests and merger pricing, Huang Xiaoming, senior vice president of Midea Group, said that this restructuring plan has safeguarded the interests of circulating shareholders to the maximum extent. First, after the completion of this transaction, Midea’s electric appliance conversion shareholders will enjoy a higher valuation level brought by the business of small household appliances, motors and logistics, which will bring about an improvement in the valuation level. Second, the share exchange premium rate was 68.71%, far exceeding the average cumulative increase of the share prices of comparable listed companies as of March 31 after the suspension, the average increase of Shenzhen 100P was 5.69%, and the average increase of Shanghai and Shenzhen 300 Index was 9.64%. Third, the share swap premium rate far exceeds the share swap premium rate of similar merger cases. The average premium rate of the share swap price of the merger case in the market is 24.34% compared with the average price of the 20 trading days before the suspension, which is far lower than this case. Fourth, the shareholders of Midea Electric’s tradable shares enjoyed an increase in earnings per share in 2013 after the completion of this restructuring.

It is understood that there are three main factors to consider in the price of Midea’s electrical appliances, which are comparable to the increase of listed companies since the suspension of trading; Comprehensively consider the historical cost of minority shareholders and the overall trend of A shares in the near future; Similar to the case of share swap and merger, the share swap premium is given. Based on the above factors, the circulating shareholders are given a higher premium and the conversion price is determined to be 15.96 yuan/share.

Midea Group’s issue price comprehensively considers the valuation of A-shares in various business segments of the Group compared with listed companies, and at the same time gives certain liquidity discount to unlisted assets, which is then comprehensively weighted according to the predicted profit ratio of each business segment in 2013. The issue price is 44.56 yuan, and the issue P/E ratio is 10 times, which is 13.97 times higher than the market average comprehensive P/E ratio, with a discount of 36% and a discount of about 23% compared with the US P/E ratio of electrical appliances, which fully protects the interests of circulating shareholders.

In addition, before the listing, the Group implemented the shareholding plan for senior management by means of equity reward, and the shares came from the existing shares of the controlling shareholders, which would not dilute the rights and interests of minority shareholders; At the same time, the share payment fees generated by the shareholding plan have all been reflected in 2012.

Midea Group will continue to give high returns to shareholders after listing, and the company will distribute dividends in cash, stock or a combination of cash and stock. Based on industrial synergy and efficient management and operation system, Midea’s future business performance is expected to improve steadily.

  Efficient operation system

Regarding the reorganized organizational structure, Huang Xiaoming said that after the reorganization, Midea Group will be presented as a complete entity, which is a consumer-oriented and market-oriented organization. The existing structure is a "group-division" two-level structure, and the division "9+2+1 structure": 9 end consumer goods divisions +2 industrial chain core components divisions +1 international operation platform, and 13 business units of the national network layout logistics company, with clear and concise structure. The current structure is conducive to the effective implementation of Midea Group’s future development strategy.

At the same time, with the help of this adjustment, Midea Group will establish a market-oriented and efficient operation process system and build an agile organization by standardizing organizational setup, reducing organizational levels, realizing organizational flattening, diagnosing and sorting out existing systems and processes.

Huang Xiaoming said that Midea Group has formed a diversified shareholding structure in which actual controllers, strategic investors and middle and senior management jointly hold shares, and at the same time, it has solved the problem of medium and long-term incentives for management. Midea Group adheres to the principles of authorized operation and decentralized management, establishes a mature management system for professional managers, successfully completes the handover of the founders to professional managers, gives full play to the enthusiasm of professional managers, and cultivates an experienced and young management team for the company’s industrial development and expansion.

The management stock ownership plan has established and improved the company’s long-term and effective incentives and constraints. The company has implemented employee rewards for 47 major senior managers. The incentive target is 3% shares of Midea Group, which comes from the holding transfer of Midea, the controlling shareholder of Midea Group. There is no exercise condition and the lock-up period is three years, which ensures the stability of the management and its consistency with the interests of shareholders. In the future, the company will launch a wider range of equity incentives in a timely manner according to the actual operating conditions.

  Profitability has steadily increased.

After more than a year of transformation and adjustment, Midea has achieved phased results. Fang Hongbo said that the environment of high-speed growth of home appliance industry has changed, and the mode of over-reliance on scale has been challenged, so it is necessary to find a new business model to adapt to the current market environment. Therefore, Midea takes the initiative to adjust its strategy, focusing on sustainable profitability, and giving up the development model of blindly pursuing scale in the past. By improving the product structure, enhancing the added value of products and enhancing the competitiveness of products, we can maximize profits on the basis of moderate scale.

Over the past year or so, the company’s transformation has involved many adjustments such as equity governance, company structure, business model and channels. In terms of industrial structure, focus on core business, cut off non-household appliances business and low-margin products, and adjust product categories to 20 core categories with market position and space; In terms of marketing channels, the company has returned to the big agency mode of the division, integrated operation of R&D, production and marketing, clear rights and responsibilities, restored terminal confidence and stronger profitability than before. According to reports, after more than a year of adjustment, the company’s business structure is clear, the asset bubble is digested, the channel inventory is greatly reduced, and the financial optimization, most of the product shares have returned to the pre-transformation level, and the effect will be further revealed in the next 2-3 years.

According to Midea Electric’s 2012 annual report, the annual operating income was 68.1 billion, and the net profit attributable to the parent company was 3.5 billion, of which the fourth quarter income was 14.2 billion, a year-on-year increase of 27%, and the overall growth resumed. Since the transition, the gross profit margin has steadily rebounded, and the profitability has been enhanced. The comprehensive gross profit margin for the whole year reached 23%, up nearly 4 percentage points. The annual operating profit margin was about 7%, up by 1.6 percentage points. Demonstrations broke out in northern German cities, demanding an end to energy sanctions against Russia.

On September 25, local time, demonstrations broke out in the northern German city of Lubuming. Thousands of people took to the streets, demanding that the German federal government quickly open the "Beixi -2" natural gas pipeline and end the energy sanctions against Russia.

According to the information disclosed by the local police, about 3,500 people from all over the country gathered in Lubuming, the terminal of the "Beixi -2" natural gas pipeline, to protest against the federal government’s energy policy. The slogan of the demonstrators is "Open ‘ Beixi -2’ Project — — Only in this way can our country have a future. " At the same time, the demonstrators also demanded that the German government immediately end the energy sanctions against Russia. Demonstrators pointed out that once the "Beixi -2" pipeline is put into use, Russian natural gas will flow to Germany again, and energy prices can drop rapidly. However, the German federal government has repeatedly ruled out the possibility of opening the project.

It is reported that this is not the first time that protests and demonstrations have broken out in Lubuming. Earlier this month, about 1800 people took part in a parade on a similar theme.

The "Beixi -2" natural gas pipeline was officially completed in September 2021. According to the original plan, the natural gas pipeline should be officially put into use at the end of 2021.

The Top Ten Consumer Infringement Events in 2018

one

Changchun Changsheng vaccine incident was severely punished.

Event: On July 15th, 2018, National Medical Products Administration issued a notice that during the production of freeze-dried rabies vaccine for human use, some batches were mixed with expired stock solution, and some batches did not fill in the production date and batch number truthfully. In the investigation, the relevant departments also found that more than 650,000 DTP vaccines produced by Changchun Changsheng Company and Wuhan Institute of Biological Products Co., Ltd. also had problems, and they have been sold to Shandong, Hebei, Chongqing and other places. For a time, the safety of vaccine drug use has received unprecedented attention from the society, and the regulatory agencies have also given heavy blows to illegal enterprises and increased penalties. The State Food and Drug Administration revoked the pharmaceutical production license of Changchun Changsheng Company and fined 9.1 billion yuan; The Shenzhen Stock Exchange forced the delisting of the company’s shares; The public security organ filed a case for investigation according to law for the first time, and 18 suspects, including Gao Mofang, the chairman of the company, were arrested; From the competent authorities to the provinces and cities, many officials were seriously held accountable.

Comment: The problem vaccine incident of Changchun Changsheng Company in Jilin Province exposed that the vaccine production enterprises were bent on profit, the local government and market supervision departments were negligent and oversight, and also reflected the system defects in vaccine production, circulation and use. Subsequently, the "People’s Republic of China (PRC) Vaccine Management Law" was drafted and promulgated, and the first vaccine law in China was also ready. Drug safety is the most basic public safety, and vaccine safety guarantees the life and health of the masses. The occurrence of this incident also fully demonstrates the sensitivity and seriousness of drug safety. Pharmaceutical production and sales enterprises should establish the belief of people-oriented, safety first and honest management. The government and regulatory authorities should focus on improving relevant systems and regulations, strengthen law enforcement, severely deal with drug safety issues, achieve zero tolerance, and use the most stringent regulations to keep the bottom line of vaccine safety.

2

Quan Jian Ran Jian is suspected of pyramid selling and exaggerating propaganda, and it is difficult to rectify health care industry’s ills

Event: On Tuesday, the father of Zhou Yang, a girl with cancer, persuaded her daughter to give up chemotherapy and take anti-cancer products produced by her company, which eventually led to the deterioration of Zhou Yang, who was only 6 years old, and died. On January 7, 2019, the People’s Procuratorate of wuqing district, Tianjin, criminally detained 16 people including Shu Moumou, the actual controller of Quanjian Company, on charges of allegedly organizing and leading pyramid schemes.

In 2018, while the Quanjian incident broke out, health care industry’s chronic diseases continued to ferment, and there were many "God cases" of health food against cancer. Also known as the "health empire" — — Ranjian Global is also suspected of pyramid schemes. The company claims to have a health care "foreign juice" originating in the United States — — Morinda citrifolia juice can treat all kinds of "incurable diseases". However, Ranjian Global does not have any domestic approval and filing of health food. On November 20, 2018, the public security organs launched an investigation into Ranjian Global’s alleged pyramid schemes and commodity smuggling.

Comment: Although the government has continuously increased the supervision of the health care products market for many years, the chaos in health care industry has not been completely eradicated under the drive of huge interests. There are still unscrupulous enterprises that wantonly carry out false propaganda, carry out pyramid schemes under the banner of direct selling, repeatedly cross the legal red line, ignore consumers’ rights and interests, mislead and deceive consumers, and even endanger consumers’ life safety. Law enforcement departments should never tolerate false and exaggerated advertising of health care products. More importantly, we should dare to break the barriers of local and departmental interests and truly control the chaos in health care industry with the work style of "grasping the iron and marking the stone". For illegal business practices that seriously infringe on consumers’ rights and interests, we should form a joint force with the public to "strike hard, strike hard and really" and play a game of chess all over the country to achieve the fundamental purification of the health care product market.

three

It is difficult to refund the deposit in ofo sharing bicycles, and consumers pay for poor management in bike-sharing.

Event: In the past two years, bike-sharing, which was very popular for a while, has been suffering from poor management. Wukong bicycles that have been in operation for less than half a year have withdrawn from the market; 3Vbike bike-sharing is out of service; Small blue car is still closed after financing 400 million yuan … … The subsequent problem of the deposit being difficult to refund has been constantly staged in many bike-sharing enterprises. Since 2017, many bike-sharing enterprises, such as Xiaoming Bicycle, Machimachi Bicycle, Kuqi Bicycle and Xiaolan Bicycle, have been repeatedly complained by users that they are unable to refund the deposit. In the first half of 2018, users in ofo sharing bicycles began to be unable to refund their deposits normally. On December 17, 2018, outside the headquarters of Xiaohuangche Office in Zhongguancun, Beijing, hundreds of ofo users lined up to ask for a deposit. As of January 2, 2019, the number of users waiting for ofo to refund the deposit has exceeded 10 million. Bike-sharing enterprises are vicious in competition, poor in management and chaotic, but in the end, consumers pay for them.

Comment: As an innovative economic model, the sharing economy, the trial and error of entrepreneurs and the game of capital market are all social costs that need to be paid in the exploration, but this cost must not be passed on to innocent consumers, so that consumers can become the ultimate victims. Legally, the user is the owner of the deposit in bike-sharing. Therefore, it is illegal to misappropriate the user deposit for whatever reason. Innovation is the only way for China’s economy to stimulate vitality, transform and upgrade. However, any innovation can’t be at the expense of infringing on the rights and interests of others, and it can’t be separated from a healthy institutional environment and business norms.

Didi windmill driver murder case challenges the safety bottom line

Event: On August 24, 2018, Zhao, a girl from Yueqing, Zhejiang Province, was raped and killed by the driver on the way to Yongjia by Didi Shunt. This is another serious security incident that occurred on Didi Travel Platform after the flight attendant in Zhengzhou was killed in May 2018. Two murders occurred one after another, pushing Didi Chuxing and its free ride business to the forefront, and its operation concept and management method were criticized by public opinion.

As a giant of online car, the growth of Didi has always been accompanied by security risks. According to statistics, there are at least 50 cases of sexual assault and harassment by Didi drivers. The criminals involved 50 drivers and 53 victims were women. During its six years of development, Didi Chuxing has received more than 2,500 criminal cause awards.

Comment: The criminals should bear the legal responsibility for the occurrence of various vicious cases of car rental on Didi. However, as a platform, Didi has many loopholes in its supervision system and a lack of social responsibility, which makes it also have gross negligence and repeatedly threatens the safety of consumers’ travel. As a new thing, online car rental has undeniably brought consumers a convenient and fast way to travel. There are hidden dangers in operating vehicle access, platform supervision, safety precautions, emergency treatment, etc., which need to be remedied urgently. After all, while the Internet economy brings efficiency, security is its number one key word.

A dirty rag uncovers the hygienic chaos in a five-star hotel

Event: On the evening of November 14, 2018, netizens posted videos on the media platform, exposing the hygienic chaos of nearly 20 five-star hotels — — Hotel waiters use dirty towels picked up from the ground to wipe cups, hand basins, toilets, mirrors, etc., and no matter where they wipe, they only use this dirty towel all the time. The whole scene is amazing. There are many world-renowned five-star hotels such as Marriott, Sheraton, Shangri-La and Hilton. Hotels involved in various places have issued statements one after another, apologizing to consumers, saying that they have conducted a thorough investigation internally. On the second day after the exposure, the Ministry of Culture and Tourism instructed the cultural and tourism authorities of Shanghai, Beijing, Fujian, Jiangxi, Guizhou and other five provinces and cities to investigate and deal with it, and sent a supervision and inspection team to the exposed tourist hotels for on-site supervision and inspection. Seven hotels involved in Shanghai were given warnings and fined 2,000 yuan each.

Comment: Cleanliness, hygiene, safety and comfort are the core competitiveness of the hotel industry and the key for consumers to choose hotels. However, this dirty rag unveiled the gorgeous mask of a five-star hotel, revealing a dirty background and detonating the crisis of public confidence in the entire hotel industry. The lack of business ethics and honesty in these well-known five-star hotels has undoubtedly subverted consumers’ cognition and failed consumers’ trust. However, the punishment imposed by the relevant departments afterwards can neither make the hotels involved feel the pain of violating the rules, nor make consumers satisfied and recognized. The establishment of brand and reputation not only comes from high-end luxury decoration, honesty, responsibility and morality, which are the foundation of service industry.

six

Shanzhai goods in the countryside

Event: In 2018, CCTV’s March 15th party and many media reported that in the rural consumer market, consumer goods became "waste products". There are often fake commodities such as Liuhe Walnut, Wanghao Cowboy, Bean in Bean, Kang Shuaifu and Lei Bi that make people laugh and cry on the shelves in rural areas. As small as food and daily necessities, as large as household appliances, fake and shoddy goods are rampant, and they are imitated "vividly" by merchants, so it is difficult to distinguish between true and false. Behind the appearance of the shanzhai trademark are foods with various additives and preservatives exceeding the standard, inferior rice cookers with industrial aluminum liners, and electrical appliances with numerous safety hazards. From May to September, 2018, China Consumers Association organized a national rural bazaar survey, and found that 87 of the 155 rural bazaars had suspected counterfeit products, 73 had "three noes" products, 43 had fake and inferior products, and 27 had expired products. The problem of cottage products was outstanding, and cottage products had seriously endangered the health and life safety of rural consumers.

Comment: Many factors, such as weak self-protection ability of rural consumers, unsmooth information and weak awareness of consumer rights protection, make rural consumer market a fertile ground for counterfeit and shoddy goods. Behind the seemingly ridiculous cottage products, there are countless health and safety hazards, which seriously disrupt the rural market order. On December 14, 2018, the Ministry of Agriculture and Rural Affairs, the Ministry of Commerce, the Ministry of Public Security, the State Administration of Market Supervision, China National Intellectual Property Administration and the All-China Federation of Supply and Marketing Cooperatives announced that they would launch a special rectification campaign for fake and shoddy food in rural areas to comprehensively "clean up" the rural food market. Cleaning up the rural market environment, cleaning up the cottage products, and letting rural consumers enjoy a quality and guaranteed life are also the meaning of realizing rural revitalization.

seven

"Big data killing" is rampant in many fields and platforms

Event: In March 2018, a netizen exposed his personal experience: his long-term booking price on a website was 380— Hotel room between 400 yuan, and with a friend’s account query, the same room is shown as around 300 yuan. Subsequently, many netizens have exposed similar experiences, from hotel reservation, air ticket reservation to taxi travel. Whether it is Ctrip, Amazon, Didi, Flying Pig, many well-known Internet platforms have been exposed to such big data killing operations. Such behavior completely deprives consumers of the right to know and fair trade, and has become synonymous with Internet companies violating business ethics.

Comment: Big Data should be used to improve the operational efficiency of enterprises and provide consumers with more accurate and caring services. However, it has evolved into a "killing" sales tool. This not only violates the legitimate rights and interests of consumers, such as the right to know, the right to fair trade and the right to privacy, but also seriously deviates from the principle of fairness and integrity in the market economy. The processing and use of big data requires the restraint and supervision of relevant institutions, laws and regulations, technical ethics and other aspects. On January 1, 2019, the "Electronic Commerce Law" was officially implemented. According to Article 18 of the Bill, if an e-commerce operator provides search results of goods or services to consumers according to their hobbies, consumption habits and other characteristics, it should also provide the consumers with options that are not specific to their personal characteristics, and respect and equally protect the legitimate rights and interests of consumers. From the legal level, this has put an end to the phenomenon of "big data killing". At the level of supervision and law enforcement, relevant departments will also give moral and regulatory constraints to big data.

eight

Online booking of air tickets charges a high refund fee.

Event: In 2018, CCTV and a number of media exposed many travel platforms such as Ctrip, Tuniu, Mahoneycomb and Tongcheng, and there was a problem of high ticket refund and change. Although domestic airlines have clear regulations on ticket refund and change, many internet ticket sales platforms do not charge the refund and change fees according to this. According to the "Investigation Report on Refund and Change of Airline Tickets of Consumers in Jiangsu Province" issued by Jiangsu Consumer Protection Committee on April 24th, 30.7% of consumers have been charged a high fee for changing their airline tickets many days in advance. 23.5% of consumers have experienced that the refund fee is higher than the ticket price. The highest refund fee is actually three times the ticket price; Special fares are basically not refunded or exchanged, or only airport construction fees and fuel surcharges are refunded.

Comment: The refund and change fee is a kind of compensation fee similar to liquidated damages. Passengers who temporarily return and change their tickets may cause a certain degree of waste of resources for airlines. While the travel platform provides the service of returning and changing the ticket, it is reasonable to charge a certain fee, but the amount should be within the scope of reasonable compliance. Taking advantage of the strong position of monopoly and the unequal information, it is an encroachment and harm to the equal rights of consumers to introduce the overlord clause.

nine

Prepaid consumption is now "routine loan"

Event: In recent years, with the development of mobile Internet technology, prepaid consumption has expanded from traditional beauty, hairdressing, fitness, catering and other industries to online car use, education and training, rental market, entertainment, life services and other fields. In 2018, the field of prepaid consumption has also become a new problem for consumer rights protection. Since May, the problems of "rent loan" and "decoration loan" have been exposed frequently. Some long-term rental apartment companies and Internet decoration platforms have broken their capital chains, and operators have run away, resulting in tenants having no room to rent, which renovation contract cannot fulfill, while consumers still have to repay the loans. In October, a number of English training institutions were accused of offering course loan services, which allowed students to carry thousands to hundreds of thousands of "training loans". The internationally renowned English training brand, Wall Street English, was once exposed that students were burdened with 170,000 tuition loans, and students embarked on a difficult road to safeguarding rights.

Comment: Frequent disputes among prepaid consumer groups have become the focus of current consumer complaints and rights protection. The rapid development of prepaid consumption in China is inseparable from the construction of a society ruled by law and the deep-rooted spirit of contract. It is the product of legal system and honesty. However, prepaid consumption has become "the meat steamed stuffed bun hits the dog and never returns", which not only disrupts the normal market economic order, violates the spirit of contract, aggravates the crisis of social integrity, but also destroys social public order and good customs. The establishment of social credit needs to be implemented in step-by-step supervision, which is responsible for the growth of the industry and also follows the principle of good faith.

10

Personal information is peddled and Internet users are streaking.

Event: In 2018, personal information disclosure incidents occurred one after another, and websites, hotels, courier companies, etc. all became the source of information disclosure. On June 13, 2018, the video website AcFun announced that 9 million user data were leaked; On June 16th, the job resumes of 1.95 million users with no worries about the future of the recruitment website were leaked. On June 19th, 1 billion pieces of express data of Yuantong Express were sold; On July 18, another courier company suspected that user data was sold; On August 28, 500 million pieces of hotel customer opening data of Huazhu were sold; On September 10th, the information of 500 million guests of Marriott Group was leaked. Selling personal information has become an open black industrial chain. Personal information that should have been protected has become a publicly sold commodity, and the public is "streaking" in the Internet world.

Comment: On September 7, 2018, the 13th the National People’s Congress Standing Committee (NPCSC) Legislative Plan was announced, and the Personal Information Protection Law and the Data Security Law were included in the first category of projects, which is expected to make personal information protection enter the legal track as soon as possible. In the era of big data, the commercial value and legal significance of personal information are improving. In the face of the impact of interests, it is even more necessary to build a legal firewall. Let enterprises attach great importance to the security protection of information and data, functional departments strengthen supervision and management of markets and industries, and judicial organs severely punish illegal acts and put on "protective clothes" for citizens’ privacy.

The autumn tiger "returned to the mountain" and continued high temperature warning for 16 days. …

On August 26, the Central Meteorological Observatory lifted the yellow high temperature warning for 16 consecutive days, and the autumn in the south has been "delivered" one after another.

Although the overall high temperature range in the country has narrowed and the intensity has weakened, there are still areas in the south that are still in "hot water". Today’s chat column, let’s review, how fierce is this "autumn tiger" going down the mountain?

Expert: Bao Yuanyuan, Senior Engineer of Central Meteorological Observatory

Reporter: China Meteorological News reporter Shen Minxia

8 The longest yellow high temperature warning in August in recent 6 years.

Since August this year, the high temperature in the south has continued to "dominate the screen". Among them, Jiangxi, Hubei, Hunan and Chongqing are continuously controlled by the subtropical high and become the "base camps" of high temperature.

The Central Meteorological Observatory issued a yellow warning of high temperature on August 11, and it was lifted on the evening of August 26, with a total of 16 consecutive days, the longest continuous high temperature days in August in recent six years.

The average value of the highest temperature in August increased as a whole.

Taking Nanchang, Jiangxi, Wuhan, Hubei, Changsha, Hunan and Chongqing as examples, the reporter counted the average of the highest temperatures from August 11 to 26 in the past six years and found that the overall trend continued to rise.

The highest temperature has not yet exceeded the historical extreme.

Since the station was established, the maximum temperature in Chongqing was 42.1℃ from August 11th to August 26th, which appeared on August 15th, 2006. Changsha is 40.6℃, which appeared on August 13th, 1953. Wuhan 39.5℃, which appeared on August 11th, 2013; Nanchang temperature is 39.7℃, which appeared on August 11th, 1966.

At the same time this year, the highest temperature in Chongqing was 40.1℃, which appeared on August 26th. Changsha is 37.9℃, which appeared on August 20th. Wuhan is 38.7℃, which appeared on August 18th. Nanchang is 37.5℃, which appeared on August 14th. The highest temperatures in the four places have not exceeded the historical extreme.

There will be no large-scale high temperature weather in the coming week.

On August 28th, hot weather still appeared in Zhejiang, Fujian, Jiangxi, southern Hunan, Guangdong and other places where the rain did not spread.

However, since August 29th, with the influence of cold air going south and typhoon Yangliu, the "Autumn Tiger" has been "forced back" by cold air and rainfall, and it has been classified as a mountain forest. The overall temperature in the southern region is not high and it is relatively comfortable.

In big cities, Hangzhou and Nanchang were only around 30℃ on the 29th, bidding farewell to the heat, and the highest temperature in Hangzhou will drop to 27℃ in one breath in the next few days under the joint influence of frequent rain washing and cold air going south. In Shanghai and Chongqing, the temperature dropped by 6℃, and the highest temperature was 31℃. The temperature in Wuhan, Nanchang and Changsha dropped by about 5℃ respectively.

How to prevent falling objects from high altitude? Experts suggest that measures should be made in building design.

Nanfang Daily News (Reporter/Theway Intern/Yan Tiantian) Since June this year, when a boy was killed by falling from a window in a residential area in Futian, Shenzhen, the problem of falling objects and throwing objects continued to ferment in the workshop, which attracted great attention from all parties. A few days ago, the academic salon "Safety Precautions against Falling Objects in Shenzhen" hosted by Shenzhen Social Science Federation and undertaken by Mahong Foundation was held. Industry insiders suggested that Shenzhen should formulate anti-falling objects measures in the building design stage to block hidden dangers from the source. At the same time, scientific and technological means should be introduced to supervise falling objects and parabolic objects, and the investigation of potential safety hazards should be intensified.

"More than 20% of falling objects are man-made"

In June this year, the incident of a boy falling from a window in Futian, Shenzhen, caused national concern. Last week, the compensation plan was disclosed, and the owner and tenant compensated 1.8 million yuan and 200,000 yuan respectively, but this could not dispel the tragic ending. "Dropping objects from high altitude will cause five challenges. First, it will cause safety hazards, especially personal injury; The second is moral challenge, which increases the contradiction between neighbors and upstairs and downstairs; Third, legal challenges, the existing laws are not enough to cover the disputes caused by falling objects from high altitude, some can not get compensation, and some may sentence all households to compensation; Fourth, management challenges bring more thoughts to property management and social governance; The fifth is the economic challenge, which brings economic pressure to the families of the victims and the perpetrators, and the amount of compensation is millions. " Li Chaoshu, a wise man in committee of 100 and president of Shenzhen Brand Building Promotion Association, said.

Lin Zhiping, a member of the Civil Affairs Committee of Shenzhen Lawyers Association and a senior partner of Guangdong Ruiting Law Firm, gave a professional explanation for high-altitude parabolic objects and falling objects: "Parabolic objects are subjectively intentional, well-known and controllable, and falling objects are like doors and windows falling off and falling by themselves after years of disrepair. The biggest difference between them is that they bear different responsibilities. If it is parabolic, it may involve criminal responsibility; If it is just a falling object, the main responsibility is civil liability. "

Tang Heping, the representative of the vice president of Shenzhen Emergency Industry Association, also gave a set of data, saying that since 2015, there have been 561 cases of falling objects from high altitude, including 120 cases of falling objects from high altitude and 441 cases of falling objects from high altitude, with man-made throwing accounting for 21%. Therefore, it is more important to track the subjective parabolic danger.

"Now there are many parabolic phenomena in the villages in the city." Tang Heping said that in order to prevent falling objects from high altitude, some communities have installed anti-falling nets, but some old communities and villages in the city are still not installed.

"Sidewalks should be away from buildings"

"At present, falling objects, fires, electric leakage, falling and burglary have become the most fatal safety hazards in property management, and they are also the compensation for five major accidents in property management enterprises. However, once a falling object is thrown in the community, it will point the finger at the property management industry, which is actually a misunderstanding. " Zeng Tao, president of Shenzhen Property Management Association, said.

Zeng Tao believes that the core value of property management is to make the use state of buildings, ancillary facilities and public parts as close as possible to the safe state at the time of acceptance through professional and technical means. As long as the realty service enterprise can fulfill the responsibility of maintaining the shared facilities and public parts of buildings such as exterior walls and roads according to laws and regulations, and at the same time fulfill the obligation of informing, stopping and reporting potential safety hazards and accidents, it should be exempted from liability.

"Property management exactly want to be responsible for? Yes, it is the responsibility agreed in the property service contract. For the proprietary parts of the owners, such as balconies, windows, etc., the property service enterprises can only play a role of reminding and assisting, and there are no laws and regulations that have clear requirements for the home inspection and compulsory maintenance of property service enterprises. " Zeng Tao said that this is also the reason why the property company does not have to pay compensation in the case of falling from a window and killing a boy.

Regarding how to supervise the throwing of falling objects from high altitude, Zeng Tao believes that, first, it is necessary to reduce the falling ways of falling objects; The second is the way to reduce injuries caused by falling objects. "It is suggested that the government require the development and construction units to provide relevant measures to prevent falling objects in the project planning and design stage, which has been implemented in many countries and regions, otherwise it will not enter the construction stage at all. In road design, the sidewalk should be as far away from the external wall of the building or as far as possible inside the building, and a barrier layer should be set on the sidewalk close to the external wall of the building. You can refer to the design of community corridors in Hong Kong, which can not only shelter from the wind and rain, but also connect various communities and commercial areas to minimize the risk of falling objects and parabolic injuries. " Zeng Tao said that property service enterprises should intervene in the planning and design stage of real estate projects as soon as possible, put forward professional opinions, and intercept hidden dangers at the source.

Use 3D robot or infrared imaging technology to prevent falling objects.

"I hope that the government will legislate for this and use compulsory means to investigate the responsibility of high-altitude parabolic people. At the same time, effectively monitor high-altitude parabolic objects, such as installation monitoring on each floor, and improve the prevention of high-altitude parabolic objects through technical means. " Li Chaoshu said that in Hong Kong, China, Tokyo, and Singapore, there will be an annual or biennial investigation on the security risks of windows, air conditioners, curtain walls, and glass. The United States has also taken corresponding measures to prevent falling objects. For example, most high-rise buildings have platforms or sun visors on the second floor to block falling objects. Every building is surrounded by grass instead of roads, so people will not easily enter this area.

Tang Heping believes that "anti-falling technology" should also be considered while preventing people from falling from high altitude. For example, there should be strict requirements for window switches and stay bars of high-rise buildings, flowerpots should be installed as much as possible for greening, and precautions should be taken when designing and decorating houses. In addition, camera monitoring with snapshot technology should be installed to supervise the high altitude full-time.

Han Hongjie, technical director of Zhongyu (Guangdong) Technology Co., Ltd. suggested that modern scientific and technological means should be brought into play, and third-party professional technical detection means, such as 3D robot stereo scanning and infrared imaging, should be introduced to supervise falling objects and parabolic objects. The grid operator takes a snapshot of the terminal, then summarizes and classifies the data, and immediately deals with the first-class hidden danger. "It is recommended to conduct investigations within six months to one year. After special weather or disasters, tests should be carried out, and pre-disaster risk prevention should be self-examined. For example, before the typhoon comes, the third party should intervene after the typhoon, starting from the source, and treating the root cause and the symptoms." Han Hongjie said.

How to make the grass-roots rational use of antibacterial drugs? The first group standard in China has come.

Wang Yu, expert consultant of Boao Forum for Asia Global Health Forum.

Cctv news(Intern reporter Huang Jiong-rui)On April 20th, during the International Forum of Health Industry of Boao Forum for Asia, China Medical Equipment Association issued the group standard "Rational Use of Antibiotics in Primary Medical Institutions for Village Clinics". According to reports, the release of this standard can provide reference, practical and detailed equipment configuration standards for rational use of antibacterial drugs for primary medical institutions and village clinics. Gradually reverse the unreasonable drug use situation in which primary doctors use drugs by experience and prefer drugs.

In 2013, the United Nations identified antibiotic resistance as one of the global health priorities in the 21st century. In 2021, the World Health Organization described bacterial resistance as a chronic epidemic. It has become increasingly difficult to develop new and efficient antibiotics to deal with drug-resistant and even multidrug-resistant bacteria. Rational use of antibiotics is the most important measure to overcome bacterial resistance and exert curative effect.

Village clinics are the foundation of rural medical and health service system, and the majority of rural doctors have long relied on "three things" — — Stethoscope, sphygmomanometer, thermometer. The educational method of calling for grassroots medical staff who lack clinical laboratory conditions to use antibiotics according to whether patients are infected with bacteria has little effect. Wang Yu, an expert consultant at the Global Health Forum of Boao Forum for Asia, said that most of China’s 592,200 village clinics do not have the conditions to check blood cells. Doctors use drugs according to experience, which tends to lead to unreasonable or overuse of antibiotics.

In order to standardize the application control of antibacterial drugs in primary medical institutions, popularize the application of POCT equipment for checking peripheral blood leukocytes, and further implement the national regulations and medical reform policies of graded diagnosis and treatment and integrated services in China, China Medical Equipment Association invited domestic hospitals, research institutions and enterprise experts to jointly compile the equipment configuration standards for rational use of antibacterial drugs in primary medical institutions, which are divided into four aspects: current situation and necessity, working conditions and contents of the standards, principles and main contents of the standards, and publicity measures.

Village clinics are the bottom of rural medical and health services, which are related to the health and life safety of the broad masses of farmers. By equipping village clinics with appropriate technical products, we can further strengthen the capacity building of village clinics, strengthen the basic medical service function of the first health defense line, and provide grassroots solutions for solving major global public health problems such as bacterial resistance.
